Terms of Service

1. Parties

These Terms of Service ("Terms") govern your access to and use of the Signature Easy platform ("Platform", "Service", "we", "us", "our"), a trading name operated by Zenith Dynamics (Pty) Ltd, registration number on file with the Companies and Intellectual Property Commission (CIPC), with its registered address at 105 Brampton Road, Lynnwood Manor, Pretoria, 0081, South Africa.

By creating an account, submitting a document, or otherwise accessing the Service, you ("User", "you") agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Signature Easy is an electronic document signing platform that enables users ("Senders") to upload PDF documents, place signature fields, and distribute them to named recipients ("Signatories") for electronic signing. The Service also includes a guest one-off signing option that does not require account registration.

Word and Excel files uploaded to the Platform are converted to PDF using third-party document conversion providers, as described in our Privacy Policy. Conversion is provided on a best-efforts basis and the layout of a converted document may differ from the original; you must review the converted PDF before sending it for signature. PDF uploads are not sent to conversion providers.

The Platform is operated on behalf of FLG but is owned and maintained by Zenith Dynamics (Pty) Ltd. All intellectual property in the Platform — including software, design, trademarks, and content — belongs to Zenith Dynamics (Pty) Ltd.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under South African law to use the Service. By using the Platform you warrant that you meet these requirements.

4. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info.zenithd@gmail.com if you suspect unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.

You agree not to use the Service to:

6. Electronic Signatures

Electronic signatures facilitated through the Platform constitute legally binding signatures under the Electronic Communications and Transactions Act 25 of 2002 (ECTA), provided that the applicable evidentiary requirements are met. You are responsible for ensuring that the type of electronic signature used is appropriate for the legal document in question. We make no warranty that an electronic signature produced through the Platform will satisfy every regulatory or contractual requirement in every jurisdiction.

7. Payments and Billing

Guest (one-off) transactions are charged per document at the rate displayed at the time of purchase. Payment is processed through our authorised payment service provider. The transaction is non-refundable once the signing invitations have been dispatched (the service is considered delivered at that point).

Subscription accounts are available to businesses and are priced individually based on usage requirements. Subscription pricing, credit allocations, and payment schedules are set out in a separate written agreement between Zenith Dynamics (Pty) Ltd and the subscribing organisation. In the absence of a separate agreement, these Terms govern. All subscription plans are annual.

All prices are quoted exclusive of VAT. VAT will be added where applicable in accordance with South African tax law.

8. Cancellation of Subscription

In accordance with section 14 of the Consumer Protection Act 68 of 2008 (CPA), a subscriber may cancel a fixed-term (annual) agreement by giving not less than 20 (twenty) business days' written notice to info.zenithd@gmail.com prior to the intended cancellation date. We may charge a reasonable cancellation penalty as provided for in the CPA and as detailed in your subscription agreement. Credits already consumed and documents already sent are non-refundable.

9. Document Retention

Documents uploaded to the Platform are retained for a maximum of 14 (fourteen) calendar days from the date of upload, after which they are permanently and irreversibly deleted from our systems. You are solely responsible for downloading and retaining copies of signed documents before this period expires.

10. Intellectual Property

You retain ownership of all documents and content you upload. By uploading content, you grant Zenith Dynamics (Pty) Ltd a limited, non-exclusive licence to process and store that content solely for the purpose of delivering the Service. This licence terminates when the document is deleted under clause 9.

All Platform software, design elements, logos, and the Signature Easy name are the exclusive property of Zenith Dynamics (Pty) Ltd. No part of the Platform may be reproduced or used commercially without our prior written consent.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

To the fullest extent permitted by South African law, Zenith Dynamics (Pty) Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of data, loss of profits, or reputational damage. Our total aggregate liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 30 (thirty) days immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under the Consumer Protection Act or any other applicable South African law.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Gauteng Division of the High Court, Pretoria, without prejudice to your rights as a consumer under the Consumer Protection Act.
